There are only a few mandatory legal requirements for the GbR and it is up to the partners to shape the company through its memorandum of partnership. However, commitments of partners by a memorandum of partnership of a GbR can also be invalid in some circumstances.

    The Federal Court of Justice (BGH) ruled in the court decision dated 6 November 2012 (Ref. no.: II ZR 176/12) that a commitment of partners by a memorandum of partnership of a GbR binding the partners to the partnership for a long period of time (31 years in the case to be decided) may be inappropriate and therefore invalid. The GbR concerned was a closed-end fund and one of the investors wanted to leave. In the eyes of the BGH the long-term commitment of the partners led to an inappropriate limitation of the partner's options for termination having regard to the German Civil Code (BGB).

    As a consequence, a long-term commitment that restricts the personal and economic freedom of a partner of a GbR and that makes the existing risks of liability unmanageable may be invalid. This makes a deliberate decision in every single specific case necessary. Important indications may be the legitimate interests of the individual partner and the company, the nature and extent of the obligations arising from the participation in the company and the structure of the company.

    There is always a risk when establishing a partnership organised under the German Civil Law, maybe even because there are only a few mandatory legal requirements. That is why it is so important to place the interests of a company even before its establishment in the hands of experienced lawyers.

When asked what does he want to achieve as a recording artist, he just says that he do what he does because it's fun.

    Vices and Adulation has a lot of influences such as Queen, Evanescence, Guns n Roses, and a lot of GuitarWar guitarist.     Chicago, IL (PRBuzz.com) May 6, 2013 -- American Homeowner Preservation ("AHP") is celebrating five years' of providing families at risk of foreclosure with viable long-term solutions to stay in their homes. Founded in 2008 as a 501c3 nonprofit in Cincinnati, AHP pioneered the short sale leaseback as a foreclosure remedy for struggling homeowners.     Kevin Gill (PRBuzz.com) May 6, 2013 -- the owner of Laser Tagging in Newark, CA - hired the laser tag experts at Creative Works (www.lasertagworld.com) to repaint his entire laser tag attraction.

    Laser Tagging originally opened in August of 2011 to an eager market in Newark. During the development process of his facility, Kevin chose one of the smaller laser tag arena builders in the industry to install and paint his attraction. Once the arena installation was complete and his facility was open for a few months, he came to regret decision. In just a few months, his artwork and murals were fading away, leaving guests less than impressed and creating an unsafe environment throughout the entire arena. Players would have a difficult time even seeing the walls, which caused constant collisions with obstacles.

    Kevin needed to do something to fix his arena, and toward the end of 2012, he contacted the laser tag experts at Creative Works. Understandably, he was skeptical about paying for an arena again after having such a bad experience the first time. But after conversations with the Creative Works team, reviewing the pictures on their website, and talking to their clients, he knew they had the experience and talent to elevate the arena to the standard he expected. The team at Creative Works wanted to make sure Kevin was involved in the design process from the beginning, so they put together some custom renderings to show him exactly how his new arena would look. Once the new look was finalized, Creative Works booked a trip to California in March of 2013 to repaint his entire laser tag arena.

    Within the first day of the new paint installation, he knew he made the right decision. The new arena theme, which was painted to look like a battle station floating in a far galaxy, was brighter and more vibrant than he could have imagined. After a full week of painting by two artists, the attraction was finished and Kevin re-opened to guests. "We are astounded at the exceptional work that (the artists) were able to complete in such a limited time frame," commented Kevin.

    The response he's received has been fantastic, and guests love the new arena. Kevin was extremely pleased with the process "from the scheduling of service, which was concise and thorough, to the final product, which wildly exceeded our expectations." Creative Works hopes to be able to work with Kevin again on future endeavors.

    SHARON HALLEY began her career at the world-renowned St. Louis MUNY as a dancer. I feel like sometimes people who are very deserving of scholarships miss out because they have difficulty with writing essays or putting their thoughts on paper," said Ms. Ball after learning she had won her tuition back.     During the months of March and April more than 4,500 nursing students nationwide registered with the Common Knowledge Scholarship Foundation to participate in the Nursing Tuition Back Scholarship. To win, students first participated in the Challenge Round: three quizzes covering the core concepts of an anatomy and physiology course. Scoring was based on time and accuracy for each question. At the end of the challenge round, the top 25% of scorers advanced to take one last quiz in the Championship Round and the chance to win their tuition back.

    "We want to reward students who really put in the time to learn the course material," said Daryl Hulce, CKSF founder and president. "Our goal is to keep adding courses to this program until it is possible for a student to go to school for free."

    While all nursing students were eligible to compete for the scholarship's base award of $250, only students attending schools enrolled in the Tuition Back Scholarship program were qualified to win back their full tuition. The fee allows all undergraduate nursing students at their school to participate and win up to $1,000 of their tuition back while they study.

    SANTA ANA, Calif., (PRBuzz.com) May 6, 2013 -- In a ceremony opening a recent meeting of the Santa Ana Unified School District board of directors, one of its teachers was honored for her work with students in the gardens of the Heritage Museum of Orange County.

    Susie MacPhee, who teaches preschoolers at Mitchell Child Development Center the fine art of outdoor gardening, including composting, uses the gardens at the neighboring museum at 3101 W. Harvard Steet in Santa Ana. The museum sits on SAUSD property.

    "We have a special connection to Susie MacPhee," said Candace Chromy, the museum's executive director. "Not only is she engaged in the use of the outdoor space for her students, she also has made a monetary contribution of her own to help make the garden project more accessible to all students."

    MacPhee, who has taught special education in Santa Ana for more than two decades, received her credentials from UCI, University of Redlands and California State University Long Beach. In her spare time, she is an avid skier, kayak fan, blogger and self-proclaimed "ceramics nut".

    The Heritage Museum's children's garden was created by its director of natural history and agriculture Patrick Mitchell in close cooperation with Mark Bello, principal at the Mitchell center.

    Mutual Bank and SEED Corporation to sponsor Entrepreneurial Workshops May 16 at Plymouth Chamber of Commerce headquarters

    PLYMOUTH, MA, (PRBuzz.com) May 6, 2013 -- The South Eastern Economic Development (SEED) Corporation and Mutual Bank will hold two basic business workshops in Plymouth on Thursday, May 16, aimed at assisting potential and existing entrepreneurs.

    Both workshops will be held at the Plymouth Area Chamber of Commerce offices, 134 Court Street. There is no cost to attend. The first, "Learn the Fundamentals in Planning, Preparing and Financing Your Business" takes place from 9 a.m. to noon. The second workshop, "Understanding the Purpose of Financial Statements and How They Can Help Determine the Health of Your Business" will be held from 1 to 4 p.m. Registration begins at 8:30 a.m. There is no cost to attend the workshops; and breakfast and lunch will be provided at no cost to attendees.

    Mutual Bank Business Banking Officer  Chris Dickinson will be available both before and after the formal sessions to answer questions one-on-one, and provide real-world insight into how bankers look at entrepreneurial business requests for financing and other banking services.
